INTRODUCTION
These Terms and Conditions ("Terms") govern your relationship with starlightsol.io platform ("Platform", "Starlight") operated by StarlightSolutions Limited, a limited liability company incorporated under the laws of the British Virgin Islands ("us," "we," or "our"), including any of its subdomains and any functionality and services provided via the Platform ("Services").
At Starlight, we provide an advanced trading solution powered by AI, integrating state-of-the-art technology with expert strategies to optimize users' trading experience. Our Platform enables direct interaction through smart contracts with various decentralized exchanges (DEXs), allowing users to execute trades without the need for centralized intermediaries.
By accessing or using the Platform or by indicating your acceptance through the "I accept" button or respective check box in connection with or related to these Terms, you are acknowledging that you have read, accepted without modifications, and agreed to be bound by these Terms and all terms incorporated herein by reference.
Certain Services may be subject to additional terms specified by us, and your use of such Services is subject to those additional terms.
Please read these Terms carefully as they affect your obligations and legal rights and establish a legally binding agreement between you and us.
If you do not accept or agree to these Terms, you are not allowed to access or use the Platform and must immediately discontinue any use thereof. If you are acting for or on behalf of an entity, you hereby represent and warrant that you are authorised to accept these Terms and enter into a binding agreement with us on such entity's behalf, and you accept these Terms both on behalf of such entity and on your own behalf.
As with any asset, the values of Digital Assets may fluctuate significantly, and there is a substantial risk of economic losses when purchasing, selling, holding or investing in Digital Assets.
BY MAKING USE OF OUR SERVICES, YOU ACKNOWLEDGE AND AGREE THAT: (1) YOU ARE AWARE OF THE RISKS ASSOCIATED WITH THE USE AND TRANSACTIONS OF DIGITAL ASSETS; (2) YOU SHALL ASSUME ALL RISKS RELATED TO THE USE OF OUR SERVICES AND TRANSACTIONS OF DIGITAL ASSETS; AND (3) WE SHALL NOT BE LIABLE FOR ANY SUCH RISKS OR ADVERSE OUTCOMES.
MODIFICATION AND ASSIGNMENT
We may amend these Terms from time to time. Every time you wish to use our Platform, please check these Terms to ensure you understand the terms that apply at that time. Although we make reasonable efforts to update the information on our Platform, we make no representations, warranties or guarantees, whether express or implied, that the content on our Platform is accurate, complete or up to date.
We may update and change our Platform from time to time to reflect changes to our products, users' needs, and business priorities.
We do not guarantee that our Platform, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our Platform for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.
You are also responsible for ensuring that all persons who access our Platform through your internet connection are aware of these Terms of use and other applicable terms and conditions, and that they comply with them.
We may transfer our rights and obligations under these Terms to another organization. We will always inform you in writing if this takes place, and we will ensure that the transfer will not impact your rights under these Terms.
3. SERVICES
We offer an AI-powered trading solution which facilitates automated trading on decentralised exchanges. Our proprietary algorithms analyse market trends, perform technical analysis, and execute trades based on predefined parameters.
The services provided by us include but are not limited to:
Automated Trading Instant access to newly launched tokens
Portfolio Management Risk Management
Our Platform automatically executes trades for users based on their predefined strategies. You acknowledge and agree that this execution is automated and beyond our control. While we strive for efficient trade execution, it is subject to market conditions, liquidity, and other factors, and we cannot guarantee specific trades or the absence of market disruptions which may impact the performance and effectiveness of our Platform.
You acknowledge and agree that our services are intended to assist you in executing your own trading strategies based on your individual goals and risk tolerance and that you are solely responsible for the strategies, settings, and parameters defined within your account. We do not provide investment or financial advice or recommendations.
4. THIRD-PARTY SERVICE PROVIDERS
4.1. The Platform may include tools and services provided by third-party vendors. During the registration process users will be redirected to a third-party non-custodial wallet provider, Turnkey, enabling them to fund and manage their trading strategies independently.
4.2. By using the Platform, the user consents to the Company sharing their personal data (e.g. identity verification documents) with the third-parties for the purpose of providing the services. The Company bears no responsibility for how the third-party uses or protects this data.
5. USER ACCOUNT
5.1. In order to access and use the services provided by us, you must complete the registration process and have an account on telegram to access the Platform. You agree to provide accurate, complete, and up-to-date information during the registration process. You are responsible for maintaining the confidentiality of your account login credentials, including your username and password. Any activities that occur under your account are your sole responsibility. You must notify us immediately of any unauthorized use or security breaches related to your account.
5.2. You agree to provide valid and verifiable identification documents or other necessary information as requested by us to verify your identity during the registration process or at any time during your use of the services.
5.3. By registering an account and using our services, you represent and warrant that you are at least 18 years of age or have reached the legal age of majority in your jurisdiction. If you are accessing or using our services on behalf of a legal entity, you further represent and warrant that you have the necessary authority to bind that entity to these Terms.
5.4. Residents or citizens of certain jurisdictions may be prohibited from using our services due to legal or regulatory restrictions. It is your responsibility to ensure that your use of our services is compliant with applicable laws and regulations in your jurisdiction. We do not provide any warranty or assurance regarding the legality of our services in any specific jurisdiction. We reserve the right to refuse or restrict access to our services to any individual or entity, at our sole discretion and without prior notice.
5.5. You understand and acknowledge that maintaining the security of your account is of utmost importance. You agree to implement appropriate security measures to protect your account and prevent unauthorized access. This may include, but is not limited to, using strong and unique passwords, enabling two-factor authentication, and regularly updating your account information.
6. PROHIBITED ACTIVITIES
6.1. You agree not to use our services for any unlawful or fraudulent purposes, including but not limited to money laundering, terrorist financing, or engaging in any illegal activities.
6.2. You agree not to use our services to engage in any activity that may disrupt or interfere with the proper functioning of our platform, including but not limited to transmitting malware, viruses, or any other harmful code.
6.3. You agree not to impersonate any individual or entity or provide false information during the registration process or in any communication with us.
6.4. You agree not to access or use the accounts or personal information of other users without their consent.
6.5. You agree not to engage in any form of market manipulation or abuse our platform for unfair advantage or unethical trading practices.
6.6. We reserve the right to monitor user activities and suspend or terminate accounts that are found to be in violation of these Terms or engaged in any prohibited activities. Please review and comply with these terms to ensure a safe and secure trading environment for all users of our services. Failure to adhere to these terms may result in the suspension or termination of your account, and legal actions may be taken as necessary.
7. USER RESPONSIBILITIES
7.1. Users are required to comply with all applicable laws, regulations, and guidelines related to their use of our services. It is your responsibility to ensure that your use of our services is legal in your jurisdiction.
7.2. Users are responsible for maintaining the security and confidentiality of their account credentials, including username, password, and any additional authentication methods. You agree not to share your account details with any third parties and to promptly notify us in the event of unauthorized access or suspicious activity.
7.3. You agree to provide accurate and up-to-date information or documentation that may be necessary to verify your identity and comply with regulatory requirements. You acknowledge that if you fail to provide this information upon our request, we may terminate your use of our services and discontinue your account.
7.4. You acknowledge and agree to pay the applicable fees and charges associated with your use of our services. The specific fees and charges, as well as the methods of calculation, will be provided to you through the Platform or related documentation. Failure to pay the required fees may result in the restriction or termination of certain services or the closure of your account.
8. PRICING
8.1. By using our services, you acknowledge and agree to the payment of fees associated with the use of the platform. These fees may include, but are not limited to:
Transaction fees for specific services: Additional fees may be applicable for specific services offered on our Platform. These fees will be clearly communicated to you when using these services.
Any other applicable charges: We reserve the right to introduce additional fees or charges for new features or services. Such fees will be clearly disclosed to you prior to utilizing those features or services.
8.2. All fees and charges are payable in the currency in which the respective transaction or service is denominated. You are responsible for any additional costs or fees associated with currency conversion or transfers.
8.3. Fees will be deducted automatically from your account balance at the time of the corresponding activity. You agree to maintain sufficient funds in your account to cover the applicable fees.
8.4. We reserve the right to modify or update the fee structure at our discretion. Any changes to the fee structure will be communicated to you through appropriate channels, such as email notifications or announcements on the Platform. It is your responsibility to review and understand the updated fee structure. By continuing to use our services after the fees have been changed, you indicate your acceptance of the revised fees and charges.
9. INTELLECTUAL PROPERTY
9.1. All intellectual property rights, including but not limited to trademarks, logos, service marks, trade names, patents, copyrights, trade secrets, software and any other proprietary rights associated with us, the Platform, and services, are the exclusive property of the company or our licensors. Your use of our services does not grant you any ownership or rights to our intellectual property. You agree not to reproduce, modify, distribute, display, or create derivative works based on the intellectual property without our explicit written consent.
9.2. You are strictly prohibited from using our intellectual property for any unauthorized purposes, including but not limited to:
i) Reproducing, copying, or imitating any part of the Platform or its content. ii) Using our intellectual property for personal or commercial gain without obtaining our prior written consent. iii) Engaging in any activities that infringe upon or violate our intellectual property rights.
Any unauthorized use of our intellectual property may result in legal action and may incur civil or criminal penalties. You understand that we take intellectual property infringements seriously and will take appropriate action upon receiving valid reports of such infringements.
10. TERMINATION
10.1. We reserve the right to terminate or suspend your access to our services at any time and for any reason, including but not limited to: i) Violation of the terms and conditions, including any prohibited activities outlined in Section 7. ii) Fraudulent or illegal activities conducted on or through the Platform. iii) Suspicion of unauthorized access, use, or tampering with the our Platform or user accounts. iv) Non-compliance with applicable laws, regulations, or regulatory requests. v) Any actions that may harm us, our reputation, or other users of the Platform.
In the event of termination or suspension, we may notify you by email or through other means of communication available on the Platform.
10.2. You have the right to terminate your account with us at any time by providing written notice to us. Upon termination of your account, you will no longer have access to the services provided by us, and any funds or assets held within your account may be subject to the withdrawal procedures. Following a valid account deletion request, users will have to withdraw any remaining funds prior to deletion of their account. After this 30-day period, all account information and unclaimed funds will be permanently deleted and unrecoverable. It is the user's responsibility to withdraw any funds from their account before initiating the account deletion process. Termination of your account does not relieve you of any obligations or liabilities incurred prior to termination.
10.3. Upon termination, whether initiated by us or the user, you agree to cease using the Platform and services immediately. In the event of termination by us due to violation of these Terms, we reserve the right to take further actions, including but not limited to:
i) Blocking access to your account and any associated funds or assets. ii) Reporting your activities to relevant authorities or regulatory bodies. iii) Pursuing legal remedies or seeking damages for any losses incurred.
10.4. Provisions of these Terms that, by their nature, should survive termination shall continue to be in effect after the termination of your account. These provisions may include, but are not limited to, the intellectual property rights, limitation of liability, and dispute resolution.
11. NO WARRANTY
The Platform and the services are provided "as is" and "as available." Your use of the Platform is subject to your own risk. We do not provide any warranties, whether express or implied, including warranties of title, non-infringement, integration, merchantability, and fitness for a particular purpose. We cannot guarantee that the Platform will function as expected, be secure, or meet your expectations. We cannot ensure the accuracy, reliability, or completeness of any information provided through the Platform. We cannot guarantee that the Platform will be free of viruses, errors, or other harmful components.
12. LIMITATION OF LIABILITY
12.1. To the fullest extent permitted by applicable law, the company, our directors, officers, employees, affiliates, agents, and suppliers shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from: i) Your use or inability to use the Platform or services. ii) Any conduct or content of any third party on the Platform. iii) Any unauthorized access, use, or alteration of your data or transmissions. iv) Any unauthorized access to or alteration of the Platform or its systems. v) Any errors, omissions, or inaccuracies in the information provided on the Platform. vi) Any interruption, suspension, or termination of the Platform or services. vii) Any viruses, malware, or other harmful components transmitted through the Platform. viii) Any delays or disruptions in the operation of the Platform or services. ix) Any loss or damage arising from investment or trading decisions made based on the information or services provided on the Platform. 12.2. In no event shall the aggregate liability of the company, its directors, officers, employees, affiliates, agents, or suppliers exceed the amount you have invested or deposited on the Platform.
12.3. Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for incidental or consequential damages. Therefore, some of the limitations set forth in this section may not apply to you.
To the extent that any liability cannot be excluded or limited under applicable law, the aggregate liability of the company, its directors, officers, employees, affiliates, agents, and suppliers shall be limited to the maximum extent permitted by law.
13. INDEMNIFICATION
You agree to indemnify and hold harmless our company, its directors, officers, employees, affiliates, agents, and suppliers from and against any claims, liabilities, damages, losses, and expenses, including but not limited to attorney's fees, arising out of or in connection with: i) Your use of the Platform or services. ii) Your violation of the terms and conditions. iii) Your violation of any applicable laws, regulations, or third-party rights. iv) Any content you submit, post, transmit, or otherwise make available through the Platform. v) Any loss or damage caused to us or other users of the Platform as a result of your actions or omissions.
14. THIRD-PARTY SERVICES
The Platform may contain links to third-party websites, platforms, applications, services, or resources that are not owned or controlled by us. We do not endorse or assume any responsibility for the content, privacy policies, or practices of any third-party platforms or services. You acknowledge and agree that we shall not be liable for any damages or losses incurred as a result of your use of or reliance on any third-party platforms or services.
15. GOVERNING LAW AND JURISDICTION
The Agreement and any matters relating hereto shall be governed by and construed in accordance with the laws of the British Virgin Islands. You irrevocably agree that subject as provided below, the courts of the British Virgin Islands shall have exclusive jurisdiction in relation to any claim, dispute or difference concerning the Agreement and any matter arising therefrom and irrevocably waive any right that it may have to object to an action being brought in those courts, or to claim that the action has been brought in an inconvenient forum, or that those courts do not have jurisdiction. Nothing in this clause shall limit our right to take proceedings against you in any other court of competent jurisdiction, nor shall the taking of proceedings in any one or more jurisdictions preclude the taking of proceedings in any other jurisdictions, whether concurrently or not, to the extent permitted by the law of such other jurisdiction.
16. SEVERABILITY
If any provision of these terms and conditions is determined to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
